This is a formal and binding agreement ("Agreement") entered into by and between Kavelearn Tutoring ("Kavelearn") and you, the Independent Tutor. The parties explicitly consent to engaging in this Agreement electronically.

The Independent Tutor acknowledges that Kavelearn operates an online marketplace through which individuals seeking tutoring services (referred to as "Students") can identify and engage the services of individuals providing tutoring services (referred to as "Tutors"). By entering into this Agreement, the Independent Tutor seeks permission to access and utilize Kavelearn's marketplace solely for the purpose of promoting their independent tutoring business, subject to the terms and conditions outlined in this Agreement. The Independent Tutor is prohibited from advertising or offering any goods or services unrelated to tutoring on the Site for commercial purposes.
The Independent Tutor acknowledges that Kavelearn operates an online marketplace through which individuals seeking tutoring services (referred to as "Students") can identify and engage the services of individuals providing tutoring services (referred to as "Tutors"). The Independent Tutor has exclusive control over determining their session rate. However, the Independent Tutor agrees to pay a fee for using the Site ("Platform Fee") and authorizes Kavelearn to deduct this fee directly from the payments collected from Students on behalf of the Independent Tutor. The tutor agrees to pay 15% platform fee to Kavelearn from the earned amount as per Kavelearn's Tutor Payment Policies. The Independent Tutor agrees not to directly seek or receive compensation from Students for the services provided under this Agreement.

The Independent Tutor agrees to comply with Kavelearn's Tutor Payment Policies and undertakes not to undermine or circumvent these policies, or divert funds that would ordinarily be payable to the Independent Tutor through Kavelearn. Prior to commencing tutoring sessions or meeting with any Student, the Independent Tutor must verify with Kavelearn that the prospective Student has submitted the necessary billing information to Kavelearn. Kavelearn shall not be held responsible for payments related to sessions conducted before a prospective Student has provided the required billing information. Following the completion of each tutoring session, the Independent Tutor shall report the duration of the session enabling Kavelearn to initiate the collection of the Independent Tutor's fees. Upon a Student's request, the Independent Tutor shall also provide a summary of the services performed, exclusively for the Student's use.

The Independent Tutor recognizes that they are engaged in an independent business and, therefore, are not eligible, and will not become eligible, to participate in any pension, health, or other fringe benefits plan provided by Kavelearn.

The Independent Tutor acknowledges that while performing the services, they will have access to Confidential Information, which includes student's identity, address, contact information, and other personal information or service requests. The Independent Tutor agrees to uphold a duty of strict confidentiality towards the Students throughout the duration of this Agreement and thereafter. They shall not disclose this Confidential Information to any person, entity, or corporation, nor utilize it except as necessary to fulfill the services provided under this Agreement.

The Independent Tutor acknowledges that Kavelearn may retain and utilize copies of all documents created by or received from the Independent Tutor in relation to the services rendered. The Independent Tutor agrees not to engage in academic dishonesty or any other misconduct involving a Student. This includes activities such as completing assignments, writing papers, taking tests on behalf of others, or violating conduct policies of educational institutions or workplaces.

This Agreement can only be amended or modified through a written document explicitly referring to this Agreement and signed by both the Independent Tutor and an authorized officer of Kavelearn. The parties agree that any amendment or modification may be conducted electronically, as defined by the UETA and Illinois Electronic Commerce Security Act, provided that such amendments or modifications comply with the requirements stated in this paragraph.
